Statements of Work

A well-defined Statement of Work (SOW) is key to delivering a project on time, and within scope
and budget. Ideally, the SOW will provide a broad overview of the complete project and identify
the project phases, deliverables, quality and acceptance criteria.

However, SOWs are the most neglected and poorly written contract documents. They are the
primary reason for disputes over unclear expectations, the definition of “good work”, and cost
overruns.
Why?

Frequently, the stakeholder relies on the vendor’s proposed SOW. The vendor’s SOW is often
vague in key areas and requires further questioning from the stakeholder and specificity to
ensure success.

As a contract professional, you may not be the subject matter expert. However, your experience
in identifying and thinking through contract issues is valuable in creating a meaningful SOW.
